No freelancer should assume that an assignment is payable merely because files have been submitted.

15. PAYMENT DISPUTES

Where a freelancer believes that payment has been incorrectly calculated or withheld, they should contact LexaMark and provide relevant evidence.

Payment disputes will be reviewed based on available records, including:

  • Assignment instructions
  • Submission records
  • Quality-control reports
  • Client feedback
  • Communication records
  • Agreed rates
  • Completion status

LexaMark will make reasonable efforts to resolve legitimate payment disputes fairly.

16. REFUNDS, CLIENT NON-PAYMENT AND PROJECT CANCELLATION

Where a client cancels a project, disputes work, fails to pay, or requests a refund, the freelancer's payment may be affected depending on the circumstances and the applicable agreement.

LexaMark will not intentionally withhold legitimately earned freelancer payments.

However, LexaMark may withhold or adjust payment where there is credible evidence of:

  • Non-delivery
  • Poor-quality work
  • Fraud
  • Plagiarism
  • Material failure to follow instructions
  • Unauthorized conduct
  • Client-approved refunds attributable to the freelancer's work
  • Other legitimate contractual or project-related reasons

17. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, work specifically commissioned and paid for by a client through LexaMark may be subject to transfer or assignment of applicable intellectual-property rights according to the relevant project agreement.

Freelancers must not reuse, sell, publish, distribute, or commercially exploit client-commissioned work where doing so would violate the client's rights or the agreement governing the project.

Freelancers retain ownership of their pre-existing materials, tools, templates, methodologies, and intellectual property unless otherwise agreed.

18. PORTFOLIO USE

A freelancer may only display work completed for LexaMark or its clients in a portfolio where:

  • The freelancer has authorization to do so; and
  • Doing so does not breach confidentiality, copyright, privacy, or client agreements.

Where client confidentiality applies, the work must not be publicly displayed without appropriate authorization.

19. EQUIPMENT AND SOFTWARE

Freelancers are generally responsible for providing the equipment and software necessary to complete their assignments.

This may include:

  • Computer
  • Smartphone
  • Internet connection
  • Relevant software
  • Headphones
  • Recording/transcription tools
  • Design tools
  • Productivity tools

Freelancers must ensure that the software and resources they use are legally obtained or properly licensed.

20. PROFESSIONAL CONDUCT

Freelancers representing or working through LexaMark are expected to maintain professional conduct.

Unacceptable conduct includes:

  • Fraud
  • Harassment
  • Threats
  • Discrimination
  • Abuse
  • Impersonation
  • Theft
  • Deliberate sabotage
  • Falsification of work
  • Unauthorized access to systems
  • Misuse of client information
  • Deliberate reputational damage to LexaMark or its clients

21. SECURITY AND ACCOUNT RESPONSIBILITY

Where LexaMark provides a freelancer with an account, login credentials, platform access, or project-management access, the freelancer is responsible for keeping those credentials secure.

Freelancers must not:

  • Share passwords
  • Allow unauthorized persons to use their account
  • Attempt to access another person's account
  • Circumvent security controls
  • Attempt unauthorized access to LexaMark systems

Any suspected compromise of an account must be reported promptly.

22. SUBCONTRACTING

A freelancer may not transfer, delegate, or subcontract a LexaMark assignment to another person without prior authorization.

The freelancer who accepts an assignment remains responsible for the work unless LexaMark expressly approves otherwise.

23. DEADLINES AND AVAILABILITY

Freelancers are responsible for managing their availability.

If a freelancer becomes unavailable after accepting an assignment, they must inform LexaMark as soon as reasonably possible.

Repeated missed deadlines, unexplained absence, or failure to communicate may affect future work allocation.

24. SUSPENSION

LexaMark may temporarily suspend a freelancer's access to work or systems while investigating:

  • Client complaints
  • Quality concerns
  • Payment disputes
  • Suspected fraud
  • Confidentiality violations
  • Policy violations
  • Security incidents
  • Ethical concerns
  • Other serious issues

Suspension does not automatically constitute a finding of wrongdoing.

25. TERMINATION

Either LexaMark or the freelancer may end the freelance relationship, subject to any active assignment or separate written agreement.

LexaMark may terminate a freelancer's engagement immediately where there is serious misconduct, including:

  • Fraud
  • Theft
  • Plagiarism
  • Repeated poor-quality work
  • Serious confidentiality violations
  • Data misuse
  • Unauthorized client solicitation
  • Falsification of information
  • Illegal activity
  • Deliberate security violations
  • Serious reputational misconduct

Termination does not automatically remove obligations that are intended to survive termination, including confidentiality, intellectual-property obligations, and payment-related obligations.

26. DISPUTE RESOLUTION

LexaMark encourages freelancers to resolve disputes through direct communication in good faith.

Where a dispute cannot be resolved informally, the parties may use appropriate dispute-resolution mechanisms available under applicable Kenyan law.

Nothing in these Terms prevents either party from exercising rights available to them under applicable law.

27. LIMITATION OF RESPONSIBILITY

LexaMark will make reasonable efforts to provide legitimate freelance opportunities and manage projects professionally.

However, LexaMark does not guarantee:

  • A specific amount of work
  • A specific monthly income
  • Continuous client demand
  • Continuous availability of projects
  • Acceptance of every submitted application
  • Payment for work that does not meet agreed requirements

Freelancers should therefore not treat registration with LexaMark as a guarantee of employment or income.

28. FRAUD AND MISREPRESENTATION

LexaMark maintains a zero-tolerance approach toward deliberate fraud.

Examples include:

  • Creating multiple fraudulent freelancer accounts
  • Using another person's identity
  • Providing false qualifications
  • Manipulating work records
  • Falsifying completion of assignments
  • Submitting fabricated evidence
  • Manipulating payment information
  • Attempting to obtain payment for work not completed

Where appropriate, suspected fraudulent conduct may be reported to relevant authorities.

29. CHANGES TO THESE TERMS

LexaMark may update these Terms and Conditions when necessary to reflect changes in:

  • Law
  • Technology
  • Business operations
  • Client requirements
  • Freelancing practices
  • Security requirements
  • Company policies

Where material changes are made, LexaMark may notify affected freelancers through appropriate communication channels.

Continued use of LexaMark's freelancing services after the effective date of updated Terms may constitute acceptance of the revised Terms, subject to applicable law.

30. GOVERNING LAW

These Terms and Conditions shall be interpreted in accordance with the applicable laws of the Republic of Kenya.

Where a provision conflicts with a mandatory requirement of applicable law, the mandatory legal requirement shall prevail.

31. ACCEPTANCE

By registering as a freelancer, accepting an assignment, submitting work, accessing LexaMark's freelancing systems, or otherwise participating in the LexaMark Freelancing Department, you acknowledge that:

  • You have read these Terms and Conditions;
  • You understand your responsibilities;
  • You agree to comply with them;
  • You understand that registration does not guarantee work or income;
  • You agree to maintain professional, ethical, and lawful conduct.

TERMS AND CONDITIONS

Effective Date: 31 August 2026

These Terms and Conditions govern the enrolment, participation, training, assessment, certification, and use of educational services offered by LexaMark Digital Ltd ("LexaMark," "LexaMark Academy," "the Academy," "we," "us," or "our") through its Education & Training Department.

2. ELIGIBILITY

Course eligibility varies depending on the programme.

Some courses may be open to anyone interested in acquiring the relevant skill, while others may require:

  • A minimum academic level
  • Prior knowledge
  • Specific professional qualifications
  • Relevant experience
  • Access to required equipment or software
  • Successful completion of a prerequisite course

Where prerequisites apply, they will be communicated before enrolment where reasonably practicable.

The Academy reserves the right to decline enrolment where a learner does not meet the stated requirements.

3. COURSE INFORMATION

LexaMark will make reasonable efforts to provide accurate information about its courses, including where applicable:

  • Course title
  • Course description
  • Duration
  • Mode of delivery
  • Training schedule
  • Fees
  • Learning outcomes
  • Assessment requirements
  • Certification requirements

Course content, trainers, schedules, delivery methods, and learning materials may occasionally be adjusted where reasonably necessary to improve the training experience or accommodate operational circumstances.

4. ENROLMENT

Enrolment becomes effective when the learner has completed the required registration process and satisfied the applicable payment or admission requirements.

Learners are responsible for providing accurate information during registration.

A learner must not register using:

  • False personal information
  • Another person's identity
  • False academic qualifications
  • Forged documents
  • Misleading information

LexaMark may suspend or cancel an enrolment where material information provided by a learner is found to be false or fraudulent.

5. COURSE FEES

Course fees will be communicated before enrolment.

Depending on the programme, fees may cover:

  • Tuition
  • Learning materials
  • Assessments
  • Training sessions
  • Certification
  • Access to selected learning platforms
  • Other services specifically stated in the course description

Additional costs may apply where they are not included in the advertised course fee.

Learners should confirm what is included in the fee before making payment.

6. PAYMENT

Payments must be made through payment methods officially communicated or authorized by LexaMark.

Learners should retain payment confirmation or receipts for their records.

LexaMark is not responsible for payments made to unauthorized individuals or unofficial accounts.

Where a payment is made through an agent or representative, the learner should verify that the person is officially authorized to collect payments on behalf of LexaMark.

7. PAYMENT PLANS AND BALANCES

Where LexaMark permits instalment payments, the applicable payment schedule must be followed.

Unless otherwise agreed in writing, a learner with an outstanding balance may have restricted access to:

  • Classes
  • Learning materials
  • Assessments
  • Certificates
  • Other Academy services

Completion of training does not automatically waive outstanding fees.

8. REFUND AND CANCELLATION POLICY

Because training resources, trainer time, learning materials, and administrative arrangements may be committed in advance, refunds are subject to the specific programme's refund policy.

Where a refund is permitted, the applicable conditions will be communicated to the learner.

A refund may be considered where, for example:

  • A course is cancelled by LexaMark;
  • LexaMark is unable to provide the advertised training;
  • A material administrative error has resulted in an incorrect enrolment;
  • Another legitimate circumstance covered by the applicable refund policy exists.

Refunds may not be available merely because a learner changes their mind, fails to attend, becomes unavailable, or does not complete a course.

Any refund request should be submitted through the official LexaMark communication channels.

9. COURSE TRANSFERS

Where circumstances permit, a learner may request to transfer from one training cohort, schedule, or course to another.

Transfers are not automatic and may depend on:

  • Availability of another cohort
  • Course compatibility
  • Timing
  • Outstanding fees
  • Administrative requirements
  • The specific programme's transfer policy

LexaMark reserves the right to approve or decline transfer requests reasonably.

10. ATTENDANCE

Learners are expected to attend scheduled training sessions and actively participate in the learning process.

For online training, learners are responsible for ensuring that they have:

  • A suitable device
  • Reliable internet access
  • Required software
  • Appropriate learning environment
  • Required learning materials

Repeated absence may affect a learner's ability to complete the course or qualify for certification.

Where attendance is a certification requirement, the learner must meet the stated minimum attendance threshold.

11. PUNCTUALITY

Learners are expected to join classes on time.

Late attendance may result in missed learning activities, assessments, instructions, or participation opportunities.

Where a learner repeatedly arrives late without reasonable explanation, LexaMark may take appropriate academic or administrative action.

12. ONLINE LEARNING

Where training is delivered online, LexaMark may use platforms such as video-conferencing systems, learning-management systems, email, messaging platforms, or other digital tools.

Learners are responsible for maintaining access to the required platforms.

Technical problems caused by a learner's device, internet connection, software, or personal environment generally do not constitute grounds for a refund.

However, where a technical problem originates from LexaMark's systems or prevents a scheduled session from being reasonably delivered, LexaMark will make reasonable efforts to provide an alternative arrangement.

13. ASSESSMENTS

Certain courses may include:

  • Assignments
  • Tests
  • Practical exercises
  • Projects
  • Quizzes
  • Presentations
  • Final assessments
  • Other competency evaluations

Learners are expected to complete assessments honestly and according to the instructions provided.

Assessment requirements may vary between courses.

14. ACADEMIC INTEGRITY

LexaMark Academy expects learners to demonstrate honesty and integrity.

Learners must not:

  • Plagiarize
  • Copy another learner's work
  • Submit purchased work as their own
  • Falsify assessment results
  • Impersonate another learner
  • Allow another person to complete an assessment on their behalf
  • Fabricate research findings or information
  • Manipulate academic records
  • Use unauthorized assistance during assessments

Where academic dishonesty is established, LexaMark may invalidate the relevant assessment, withhold certification, suspend the learner, or terminate enrolment.

15. USE OF ARTIFICIAL INTELLIGENCE

Artificial intelligence tools may be permitted in some courses and restricted in others.

Learners must follow the specific instructions provided by their trainer or course.

Where AI use is permitted, learners remain responsible for:

  • Accuracy
  • Originality
  • Proper citation where required
  • Understanding the submitted work
  • Compliance with course requirements

AI must not be used to facilitate academic dishonesty or to misrepresent another person's work as the learner's own.

16. CERTIFICATION

Learners who successfully satisfy the requirements of a course may receive a certificate of completion or other applicable certification.

Certification requirements may include:

  • Minimum attendance
  • Completion of assignments
  • Successful assessment
  • Completion of practical activities
  • Payment of applicable fees
  • Compliance with course requirements

Enrolment alone does not guarantee certification.

A certificate issued by LexaMark Academy confirms completion of the relevant LexaMark training programme according to the stated requirements.

It should not be represented as a government licence, university degree, professional licence, or external accreditation unless LexaMark has expressly stated and can substantiate that status.

17. CERTIFICATE WITHDRAWAL OR CORRECTION

LexaMark may correct, replace, suspend, or withdraw a certificate where there is credible evidence that:

  • It was issued due to an administrative error;
  • The learner provided fraudulent information;
  • The learner engaged in serious academic misconduct;
  • Certification requirements were not actually satisfied;
  • The certificate was altered or fraudulently reproduced.

A learner must not alter, forge, reproduce, or misrepresent a LexaMark certificate.

18. TRAINERS AND INSTRUCTORS

LexaMark may engage qualified trainers, facilitators, professionals, guest speakers, and subject-matter experts to deliver training.

Trainer assignments may change due to:

  • Availability
  • Scheduling
  • Professional commitments
  • Operational circumstances
  • Course requirements

A change of trainer does not automatically entitle a learner to a refund.

LexaMark will make reasonable efforts to ensure that replacement trainers are suitably qualified for the relevant training.

19. LEARNING MATERIALS

Learning materials provided by LexaMark may include:

  • Notes
  • Presentations
  • Videos
  • Templates
  • Guides
  • Exercises
  • Assignments
  • E-books
  • Worksheets
  • Digital resources

Unless otherwise stated, these materials are provided for the learner's personal educational use.

Learners must not reproduce, sell, publish, distribute, upload, or commercially exploit LexaMark's proprietary learning materials without written permission.

20. INTELLECTUAL PROPERTY

Copyright and other intellectual-property rights in LexaMark's original training materials, branding, course structures, presentations, videos, documents, graphics, systems, and other proprietary resources remain with LexaMark or their respective rights holders unless otherwise stated.

Enrolment does not transfer ownership of these rights to the learner.

Learners retain ownership of original work they independently create, subject to any separate agreement and the rights of third parties.

21. RECORDING OF CLASSES

Learners must not record, reproduce, livestream, publish, or redistribute LexaMark training sessions without prior authorization.

This includes recording:

  • Trainers
  • Guest speakers
  • Other learners
  • Presentations
  • Course materials
  • Private discussions
  • Online classes

Where LexaMark records a session for legitimate educational or administrative purposes, the applicable recording and privacy requirements will apply.

22. LEARNER CONDUCT

Learners are expected to maintain respectful and professional conduct.

The following may result in disciplinary action:

  • Harassment
  • Bullying
  • Threats
  • Abusive language
  • Discrimination
  • Disruptive behaviour
  • Sexual harassment
  • Deliberate interference with training
  • Unauthorized recording
  • Fraud
  • Theft
  • Damage to property
  • Misuse of digital systems
  • Distribution of inappropriate material

Learners must respect trainers, staff, fellow learners, clients, partners, and visitors.

23. USE OF ACADEMY PLATFORMS

Where learners receive access to a LexaMark learning platform, account, group, portal, or other digital system, access must be used only for legitimate educational purposes.

Learners must not:

  • Share login credentials
  • Attempt unauthorized access
  • Interfere with the platform
  • Upload malicious software
  • Circumvent security measures
  • Access another learner's account
  • Use Academy systems for unlawful purposes

LexaMark may suspend access where misuse or a security risk is identified.

24. PRIVACY AND PERSONAL INFORMATION

LexaMark may collect and process learner information necessary for purposes such as:

  • Registration
  • Course administration
  • Communication
  • Attendance
  • Assessment
  • Certification
  • Customer support
  • Record keeping
  • Service improvement

Learner information will be handled in accordance with applicable data-protection requirements and LexaMark's applicable privacy policies.

Learners should not submit unnecessary sensitive personal information through public or unsecured channels.

25. COURSE SCHEDULE CHANGES

LexaMark may occasionally change a training date, time, venue, trainer, or delivery method because of circumstances including:

  • Trainer availability
  • Technical problems
  • Institutional requirements
  • Public disruptions
  • Force majeure events
  • Insufficient enrolment
  • Other operational circumstances

Where reasonably practicable, learners will be notified of significant changes in advance.

LexaMark will make reasonable efforts to provide an alternative arrangement where a scheduled session cannot proceed.

26. COURSE CANCELLATION

LexaMark reserves the right to cancel or postpone a course where necessary.

Where LexaMark cancels a course before substantial delivery has commenced, affected learners may be offered:

  • An alternative cohort;
  • A transfer to another suitable programme; or
  • A refund where applicable under the relevant refund policy.

The specific remedy may depend on the circumstances of the cancellation.

27. EMPLOYMENT AND INCOME DISCLAIMER

Completion of a LexaMark Academy course does not guarantee:

  • Employment
  • Freelance work
  • Promotion
  • A particular salary
  • Business success
  • A particular level of income
  • Admission to another institution
  • Professional licensing
  • Government employment

LexaMark provides training and skills development. Learners remain responsible for applying their acquired knowledge and pursuing opportunities.
